Airthings ASA: Update on contemplated sale of business segment assets and status of the company

(Oslo, 14 July 2025) Reference is made to the announcement on 8 July 2025, regarding termination of the Letter of Intent with Zehnder Group and the aim to re-engage the process with Firda regarding a potential sale of the company’s business segment assets.

Following constructive discussions with Firda since the announcement, both parties have mutually agreed to pause the process due to concerns about Airthings' financial stability after the potential asset sale.

While keeping all other strategic options open, the company will now enter a further financial review process which may include downscaling, reorganization and raising capital. Firda has expressed interest in continuing discussions regarding a potential transaction after necessary mitigating actions have been successfully taken.

Given the current situation, the Board of Directors and Emma Tryti have mutually agreed that it would be best for the company to have full flexibility when it comes to executive management and Tryti therefore will resign her position as CEO, effective 14 July 2025. Helge Øien (CFO) has been appointed as interim CEO and will continue to serve in a dual role also as CFO. Geir Førre (Chair) will work actively with Helge Øien and the company on a daily basis during this phase. The Board of Directors thanks Emma for her hard work and dedication to the company and wish her all the best.

Airthings expects to report revenues of USD 7.7 million for Q2 2025, within the guided range of USD 7.0 to 9.0 million. As of 30 June 2025, the cash balance was USD 1.6 million and the company had not drawn on its credit facility.
